1.              Promotion Description.  The ThreatModeler giveaways and sweepstakes that ThreatModeler promotes from time to time online or offline (“Sweepstakes“) begins on the start date at the start time and ends on the end date at the end time as set forth in the particular promotional materials (“Promotional Materials”) for such offer (the “Promotion Period“).  The sponsor of the Sweepstakes is ThreatModeler Software, Inc. (“ThreatModeler“). By participating in the Sweepstakes, each Entrant unconditionally accepts and agrees to comply with and abide by these official rules (“Official Rules”) and the decisions of ThreatModeler, which shall be final and binding in all respects. ThreatModeler is responsible for the collection, submission or processing of Entries and the overall administration of the Sweepstakes. Entrants should look solely to ThreatModeler with any questions, comments or problems related to the Sweepstakes. ThreatModeler may be reached by email at sweepstakes@threatmodeler.com during the Promotion Period.

2.              Eligibility.  Open to legal residents of the territory set forth in the Promotional Materials (“Territory”), who are eighteen (18) years or older (or the age of majority if not eighteen (18) years old) (the “Entrant“). ThreatModeler, and their respective parents, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies and each of their respective officers, directors and employees (the “Promotion Entities“), are ineligible to enter the Sweepstakes or win a prize. Household Members and Immediate Family Members of such individuals are also not eligible to enter or win. “Household Members” shall mean those people who share the same residence at least three months a year. “Immediate Family Members” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. This Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.  This Sweepstakes are open to legal residents of the Territory and Prize will only be awarded and/or delivered to addresses within said locations. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of the prize.

3.              Prizes.  The prizes shall be as set forth in the Promotional Materials.  Only one prize per person and per household will be awarded. Gift cards and gift certificates are subject to the terms and conditions of the issuer. Prizes cannot be transferred, redeemed for cash or substituted by winning Entrant. ThreatModeler reserves the right in its sole and absolute discretion to award a substitute prize of equal or greater value if a prize described in these Official Rules is unavailable or cannot be awarded, in whole or in part, for any reason. The value of the prize represents ThreatModeler’s good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the prize turns out to be less than the stated value, the difference will not be awarded in cash. ThreatModeler makes no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. ThreatModeler will not replace any lost or stolen prize items.
   
4.              Entering the Sweepstakes.  Enter the Sweepstakes during the Promotion Period as stated in the Promotional Materials (“Entries”).  Automated or robotic Entries submitted by individuals or organizations will be disqualified. Internet entry must be made by the Entrant. Any attempt by Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void Entrant’s Entries and that Entrant may be disqualified. Final eligibility for the award of any prize is subject to eligibility verification as set forth below. All Entries must be posted by the end of the Promotion Period in order to participate. ThreatModeler’s database clock will be the official timekeeper for this Sweepstakes.

5.              Winner Selection.  The winner(s) of the Sweepstakes (“Winner”) will be selected in a random drawing from among all eligible Entries received throughout the Promotion Period. The random drawing will be conducted within a week after the Promotion Period by ThreatModeler or its designated representatives, whose decisions are final. Odds of winning will vary depending on the number of eligible Entries received.

6.              Winner Notification.  Winner will be notified by email at the email address provided in the Entry Information or within the app where the Promotional Materials were promoted approximately one week after the random drawing. Potential Winner must accept a prize by email or as otherwise directed by ThreatModeler within two (2) weeks of notification. ThreatModeler is not responsible for any delay or failure to receive notification for any reason, including inactive email account(s), technical difficulties associated therewith, or Winner’s failure to adequately monitor any email account.  Any winner notification not responded to or returned as undeliverable may result in prize forfeiture. The potential prize winner may be required to sign and return an affidavit of eligibility and release of liability, and a Publicity Release (collectively the “Prize Claim Documents“). No substitution or transfer of a prize is permitted except by ThreatModeler.

7.              Privacy.  Any personal information supplied by you will be subject to the Privacy Policy of ThreatModeler posted at threatmodeler.com. By entering the Sweepstakes, you grant ThreatModeler permission to share your email address and any other personally identifiable information with the other Sweepstakes Entities for the purpose of administration and prize fulfillment, including use in a publicly available Winners list.

8.              Limitation of Liability.  ThreatModeler assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, delivery delays, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the Sweepstakes; (d) inaccessibility or unavailability of any network or wireless service, the Internet or website or any combination thereof; (e) suspended or discontinued Internet, wireless or landline phone service; or (f) any injury or damage to participant’s or to any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the Sweepstakes or download of any materials in the Sweepstakes.  If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, ThreatModeler reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part. In such event, ThreatModeler shall immediately suspend all drawings and prize awards, and ThreatModeler reserves the right to award any remaining prizes (up to the total value of the Prizes as set forth in these Official Rules) in a manner deemed fair and equitable by ThreatModeler. ThreatModeler and Promotion Entities shall not have any further liability to any participant in connection with the Sweepstakes.
 
9.              Social Network Disclaimer.  As set forth in the Promotional Materials, a social media account may be required to enter. If you don’t already have a social media account, visit the required service to create one. It is free to create an account. This promotion is in no way sponsored, endorsed or administered by, or associated with any social media providers including, but not limited to Facebook, Instagram, Twitter, Tik Tok or any other such service. Entrant understands that you are providing your information to ThreatModeler and not to the social media services being used. However, by participating via a social media platform, Entrants are also subject to the applicable social media platform’s data policy and terms of use, which can be found on their websites.

10.            Winner List/Official Rules.  To obtain a written copy of the Winner List or a copy of these Official Rules, please print these Official Rules and any Winner’s List that is posted online at threatmodeler.com or through the social media platform on which the Promotional Materials were provided.  In the event that you require written hard copies then send your request along with a stamped, self-addressed envelope to ThreatModeler Software, Inc., 1 Evertrust Plaza Suite 802, Jersey City, NJ 07302, USA. Requests for the names of the winners must be received no later than a month after the Promotion Period has ended. The winner list will be posted after winner confirmation is complete. 

11.            Additional Rules for Residents of the European Union and Spain.  For residents of the European Union (“EU”), by entering the Sweepstakes, you acknowledge and agree that your personal data will be processed in accordance with the General Data Protection Regulation (GDPR) and the Privacy Policy of ThreatModeler, which can be found at threatmodeler.com. You have the rights granted by the GDPR, including the right to access, rectify, erase, restrict processing, object to processing, and port your personal data, as well as the right to lodge a complaint with a supervisory authority. For residents of Spain, please note that the Sweepstakes is subject to Spanish law, including the “Ley 13/2011 de Regulación del Juego.” The promoter will comply with all necessary legal and tax obligations under Spanish law, including any taxes on the prize pool or prizes, such as the 10% tax on the value of the prize pool and the “Ingreso a cuenta” tax if the prize value exceeds 300 Euro. Winners may also be required to pay income taxes on their prizes as per Spanish tax law. These Official Rules are also available in Spanish, provided that the Official Rules in English shall control for legal purposes. 1. Descripción de la Promoción. Los concursos y sorteos de ThreatModeler que ThreatModeler promueve de vez en cuando en línea o fuera de línea (“Sorteo”) comienzan en la fecha de inicio a la hora de inicio y terminan en la fecha de finalización a la hora de finalización según se establece en los materiales promocionales particulares (“Materiales Promocionales”) para dicha oferta (el “Periodo de Promoción”). El patrocinador del Sorteo es ThreatModeler Software, Inc. (“ThreatModeler”). Al participar en el Sorteo, cada Participante acepta incondicionalmente y se compromete a cumplir y acatar estas reglas oficiales (“Reglas Oficiales”) y las decisiones de ThreatModeler, que serán finales y vinculantes en todos los aspectos. ThreatModeler es responsable de la recopilación, presentación o procesamiento de las Entradas y de la administración general del Sorteo. Los Participantes deben dirigirse únicamente a ThreatModeler con cualquier pregunta, comentario o problema relacionado con el Sorteo. 2. Elegibilidad. Abierto a residentes legales del territorio establecido en los Materiales Promocionales (“Territorio”), que tengan dieciocho (18) años o más (o la edad de mayoría si no son dieciocho (18) años) (el “Participante”). ThreatModeler, y sus respectivos padres, subsidiarias, afiliadas, distribuidores, minoristas, representantes de ventas, agencias de publicidad y promoción y cada uno de sus respectivos directores y empleados (los “Entidades de Promoción”), no son elegibles para participar en el Sorteo ni para ganar un premio. Los Miembros del Hogar y los Miembros de la Familia Inmediata de dichas personas tampoco son elegibles para participar o ganar. “Miembros del Hogar” significa aquellas personas que comparten la misma residencia al menos tres meses al año. “Miembros de la Familia Inmediata” significa padres, madrastras, tutores legales, hijos, hijastros, hermanos, hermanastros o cónyuges. Este Sorteo está sujeto a todas las leyes y reglamentos federales, estatales y locales aplicables y es nulo donde esté prohibido o restringido por la ley. Este Sorteo está abierto a residentes legales del Territorio y el Premio solo se otorgará y/o entregará a direcciones dentro de dichas ubicaciones. Todos los impuestos federales, estatales y/o locales, tasas y recargos son de exclusiva responsabilidad del ganador del premio. El incumplimiento de las Reglas Oficiales resultará en la pérdida del premio.
3. Premios. Los premios serán como se establece en los Materiales Promocionales. Solo se otorgará un premio por persona y por hogar. Las tarjetas regalo y los certificados regalo están sujetos a los términos y condiciones del emisor. Los premios no pueden ser transferidos, redimidos por efectivo o sustituidos por el Participante ganador. ThreatModeler se reserva el derecho, a su sola y absoluta discreción, de otorgar un premio sustituto de valor igual o mayor si un premio descrito en estas Reglas Oficiales no está disponible o no puede ser otorgado, en todo o en parte, por cualquier razón. El valor del premio representa la determinación de buena fe de ThreatModeler. Esa determinación es final y vinculante y no puede ser apelada. Si el valor real del premio resulta ser menor que el valor declarado, la diferencia no se otorgará en efectivo. ThreatModeler no hace ninguna representación ni garantía sobre la apariencia, seguridad o rendimiento de cualquier premio otorgado. Pueden aplicar restricciones, condiciones y limitaciones. ThreatModeler no reemplazará ningún artículo de premio perdido o robado.
4. Participación en el Sorteo. Participar en el Sorteo durante el Periodo de Promoción según se establece en los Materiales Promocionales (“Entradas”). Las Entradas automatizadas o robóticas presentadas por individuos u organizaciones serán descalificadas. La entrada por Internet debe ser realizada por el Participante. Cualquier intento del Participante para obtener más del número establecido de Entradas utilizando múltiples/diferentes direcciones de correo electrónico, identidades, registros, inicios de sesión u otros métodos, incluyendo, pero no limitado a, servicios comerciales de notificación/suscripción de concursos/sorteos y/o servicios de entrada, anulará las Entradas del Participante y dicho Participante puede ser descalificado. La elegibilidad final para la concesión de cualquier premio está sujeta a la verificación de la elegibilidad según se establece a continuación. Todas las Entradas deben ser publicadas antes del final del Periodo de Promoción para participar. El reloj de la base de datos de ThreatModeler será el cronómetro oficial para este Sorteo.
5. Selección del Ganador. El(los) ganador(es) del Sorteo (“Ganador”) será(n) seleccionado(s) en un sorteo aleatorio entre todas las Entradas elegibles recibidas durante el Periodo de Promoción. El sorteo aleatorio se llevará a cabo dentro de una semana después del Periodo de Promoción por ThreatModeler o sus representantes designados, cuyas decisiones son finales. Las posibilidades de ganar variarán dependiendo del número de Entradas elegibles recibidas.
6. Notificación al Ganador. El Ganador será notificado por correo electrónico en la dirección de correo electrónico proporcionada en la Información de la Entrada o dentro de la aplicación donde se promovieron los Materiales Promocionales aproximadamente una semana después del sorteo aleatorio. El Ganador Potencial debe aceptar un premio por correo electrónico o como se indique de otra manera por ThreatModeler dentro de dos (2) semanas después de la notificación. ThreatModeler no es responsable de ninguna demora o falla en recibir la notificación por cualquier razón, incluyendo cuentas de correo electrónico inactivas, dificultades técnicas asociadas con ellas, o el fallo del Ganador para monitorear adecuadamente cualquier cuenta de correo electrónico. Cualquier notificación al ganador que no sea respondida o que sea devuelta como no entregable puede resultar en la pérdida del premio. El ganador potencial del premio puede ser requerido para firmar y devolver una declaración jurada de elegibilidad y liberación de responsabilidad, y una Liberación de Publicidad (colectivamente los “Documentos de Reclamación del Premio”). 8. Limitación de Responsabilidad. ThreatModeler no asume ninguna responsabilidad ni responsabilidad por (a) cualquier información de entrada incorrecta o inexacta, o por cualquier transmisión de datos electrónicos defectuosa o fallida; (b) cualquier acceso no autorizado a, o robo, destrucción o alteración de entradas en cualquier punto en la operación de este Sorteo; (c) cualquier mal funcionamiento técnico, retrasos en la entrega, fallo, error, omisión, interrupción, eliminación, defecto, retraso en la operación o fallo de la línea de comunicaciones, independientemente de la causa, con respecto a cualquier equipo, sistemas, redes, líneas, satélites, servidores, cámaras, computadoras o proveedores utilizados en cualquier aspecto de la operación del Sorteo; (d) inaccesibilidad o indisponibilidad de cualquier servicio de red o inalámbrico, Internet o sitio web o cualquier combinación de ellos; (e) suspensión o discontinuación del servicio de Internet, inalámbrico o telefónico fijo; o (f) cualquier lesión o daño al computador del participante o al dispositivo móvil de cualquier otra persona que pueda estar relacionado o resultar de cualquier intento de participar en el Sorteo o descargar cualquier material en el Sorteo. Si, por cualquier razón, el Sorteo no es capaz de funcionar como se planeó por razones que pueden incluir, sin limitación, infección por virus informático, manipulación, intervención no autorizada, fraude, fallos técnicos, o cualquier otra causa que pueda corromper o afectar la administración, seguridad, equidad, integridad o conducta adecuada de este Sorteo, ThreatModeler se reserva el derecho, a su sola discreción, de cancelar, terminar, modificar o suspender el Sorteo en todo o en parte. Esta promoción no está patrocinada, respaldada ni administrada por, ni asociada con ningún proveedor de redes sociales, incluyendo, pero no limitado a Facebook, Instagram, Twitter, Tik Tok u otro servicio similar. El Participante entiende que está proporcionando su información a ThreatModeler y no a los servicios de redes sociales que se están utilizando. Sin embargo, al participar a través de una plataforma de redes sociales, los Participantes también están sujetos a la política de datos y los términos de uso de la plataforma de redes sociales aplicable, que se pueden encontrar en sus sitios web.
10. Lista de Ganadores/Reglas Oficiales. Para los residentes de la Unión Europea (“UE”), al participar en el Sorteo, usted reconoce y acepta que sus datos personales serán procesados conforme al Reglamento General de Protección de Datos (GDPR) y la Política de Privacidad de ThreatModeler, que se puede encontrar en threatmodeler.com. Usted tiene los derechos otorgados por el GDPR, incluyendo el derecho a acceder, rectificar, eliminar, limitar el procesamiento, objetar al procesamiento y transferir sus datos personales, así como el derecho a presentar una queja ante una autoridad supervisora.

Para los residentes de España, tenga en cuenta que el Sorteo está sujeto a la ley española, incluyendo la “Ley 13/2011 de Regulación del Juego”.
